Manager, Corporate and Compliance
We are seeking a paralegal to support the Legal Department with corporate and compliance responsibilities. This paralegal will spend most of their time with corporate governance, corporate compliance, managing legal entities, updating company files, preparing legal contracts, reviewing documents and providing legal assistance.
- Assists with corporate governance; maintains corporate entities and corporate records.
- Assists with board of directors, including drafting and revising minutes and written consents, preparing and distributing board materials electronically, updating indices and files, and maintaining organization.
- Registration of foreign entities and formation of new entities, including obtaining EIN numbers, filing d/b/a’s and preparing charter documents, amendments and resolutions and maintain compliance.
- Assists with corporate compliance matters, including the development of policies, forms and processes.
- Review, triage and run reports on the Company’s ethics hotline.
- Assists with administration of long-term incentive compensation programs as well as executive compensation matters, generally.
- Assists with finance matters and transactions, including preparation of documents and schedules.
- Coordinates and assists with transactions and filings, inclusive of due diligence review, responding to diligence requests and assembling data rooms, UCC searches and filings, and document drafting.
- Takes charge of periodic filings on entity administration and related matters as well as periodic information reports to the U.S. Census and similar agencies.
- Assists with quarterly and fiscal year end reporting and audit processes.
- Maintain working knowledge of company policies, state and federal legislation.
Qualifications
- At least ten years in a law firm and/or corporate legal department
- Paralegal Certificate or equivalent work experience
- Able to work effectively with all levels of the organization, with tact, diplomacy, and discretion.
- Possesses extraordinary organization skills.
- Possesses high-level written and verbal communication skills, and excellent problem-solving skills.
- High sense of urgency and ability to work in a fast-paced environment with shifting priorities and multiple responsibilities
- Superior analytical and writing skills and compelling oral communication skills, including the ability to negotiate and document transactions.
- Innovative thinking that challenges the status quo
- Ability to work well and be flexible in order to work with a small, tightly knit team
- Ability to work with a matter management and e-billing software including create and develop reports.
- Must be able to handle multiple projects simultaneously with strong follow-up
- Strong inclination to utilize technology to solve problems
- Retail experience preferred
- Corporate governance and working directly with boards of directors
- Experience with Diligent board portal
